LIVE INTERPRETER LICENSE AGREEMENT Live Interpreter Copyright (C) 2026 Armored Armadillo LLC. All rights reserved. Last updated: October 13, 2026 This agreement is between you and Armored Armadillo LLC ("we", "us"). By installing or using Live Interpreter ("the program") you agree to it. If you do not agree, do not install or use the program. If you accept for a business or other organization, you confirm that you are authorized to bind it, and "you" means that organization. IMPORTANT: Section 19 requires disputes to be resolved by binding individual arbitration instead of in court, and waives jury trials and class actions. You may opt out of arbitration as section 19(f) explains. Section 16 explains how this agreement works with consumer laws that cannot be waived. 1. Personal use is free. You may install and use the program at no charge for personal, non-commercial purposes, such as talking with family, friends or neighbors, on any number of computers you own. 2. Business use needs a license. Any use by or for a business, nonprofit, school, government agency or other organization, and any use as part of paid work (including self-employment), requires a Business License for each computer the program is used on for that purpose. A Business License is a subscription of US$5 per computer per month, bought at https://translate.armoredarmadillo.com/ or by invoice from licensing@armoredarmadillo.com. You may evaluate the program for business use for 30 days before buying. The program keeps working without a license; continuing business use after the evaluation period without one is a breach of this agreement. 3. License keys. A license key is issued to the licensee named in it, for the number of computers it states. Do not share or publish it. A Business License lasts while its subscription is paid; when the subscription ends, so does the right to use the program for business purposes. 4. Copies. You may give others copies of the unmodified installer, free of charge. You may not sell, rent or sublicense the program, distribute modified copies of it, or remove its copyright, license or third-party notices. 5. Reverse engineering, AI and protections. Except where applicable law expressly allows it despite this limitation, you may not: (a) decompile, disassemble, decrypt or otherwise reverse engineer the program's own code, or try to derive its source code, structure or algorithms; (b) remove, disable, bypass or tamper with its license keys, signatures, encryption, update checks or other technical protection measures, or help anyone else do so; (c) use the program, its code, interface, glossary or other materials of ours, whether directly or through an artificial-intelligence or machine-learning system, to train, fine-tune or build any model, or to reproduce, rewrite or create a product that competes with the program; (d) extract the program's models, glossary or data files for use outside the program, except as the license of a third-party component allows. Your own conversations, transcripts and recordings are yours, and this section does not limit what you do with them. 6. Third-party components. The program includes software and models from other authors, each under its own license, listed in THIRD-PARTY-NOTICES.txt with their texts in the licenses folder. Those licenses govern those components, and nothing in this agreement limits the rights they give you. Some carry terms of their own: the Microsoft components (the Windows build of Python and the Visual C++ runtime) may be used only on Microsoft operating systems and not in malicious, deceptive or unlawful programs, and their copyright notices may not be altered; the NVIDIA libraries in the GPU edition may be used only as part of this program. 7. A working aid, not a certified interpreter. Machine translation makes mistakes. Do not rely on the program where a certified or court interpreter is required, such as sworn statements, court or agency hearings, depositions, medical consent or legal advice, or where a wrong word could cause harm. 8. Recording. The program can save a call's audio and transcript. Recording laws differ from place to place, and some require everyone on the call to agree. You are responsible for following the law where you and the other people on the call are. 9. Privacy. Hearing, translating and speaking run on your computer. The program sends nothing about your calls anywhere. It downloads its own signed updates, which you can turn off in Settings, and the language models and GPU support you choose or that your computer can use. License keys are checked on your computer. The phone view, when you turn it on, shares captions only with devices on your own network that have its link. A cloud translation engine is used only if you add your own key for one. Our website's privacy policy is at https://translate.armoredarmadillo.com/privacy. 10. Subscriptions, renewal, cancellation and taxes. (a) Billing. Business Licenses are billed in advance, monthly or yearly, as your invoice or order states, for the number of computers it lists. (b) Automatic renewal. A Business License renews automatically at the end of each billing period for another period of the same length, at the price then in effect, until you cancel it. We will email you at least 30 days before a renewal at a higher price. (c) Cancelling. You may cancel at any time by writing to licensing@armoredarmadillo.com or through https://translate.armoredarmadillo.com/billing. Cancellation takes effect at the end of the period already paid for, and you will not be charged again. (d) Refunds. Fees already paid are not refundable, including for a partial period, except where the law requires a refund or we agree to one in writing. (e) Taxes. Prices do not include sales, use, value-added or similar taxes, which you pay where they apply, other than taxes on our income. (f) Late payment. If an invoice is unpaid 30 days after it is due, we may end the Business License after emailing you notice, and section 3 then applies. 11. Feedback. If you send us ideas, suggestions or bug reports, we may use them for any purpose without owing you anything. This does not give us any right to your conversations, transcripts or recordings. 12. Ending this agreement. This agreement lasts until it is ended. You may end it at any time by uninstalling the program and cancelling any Business License. We may end your rights under it by written notice if you breach it and, where the breach can be fixed, do not fix it within 15 days of our notice; we may end them at once for a breach of section 3, 4 or 5. When it ends, you must stop using the program and delete your copies, and any license keys issued to you stop being valid. Sections 5, 7, 8 and 11 through 20 continue after it ends. 13. NO WARRANTY. THE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT OR ACCURACY OF TRANSLATION, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE PROGRAM WILL BE ERROR-FREE OR UNINTERRUPTED OR THAT ITS TRANSLATIONS WILL BE CORRECT. 14. LIMITATION OF LIABILITY. TO THE FULLEST EXTENT THE LAW ALLOWS, ARMORED ARMADILLO LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE PROGRAM OR THIS AGREEMENT, EVEN IF TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PROGRAM OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE PROGRAM IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR US$50. These limits apply whatever the legal theory, and even if a remedy fails of its essential purpose. 15. Indemnity for business use. If you use the program for business or other organizational purposes, you will defend and indemnify Armored Armadillo LLC, its members and its agents against any third-party claim, and the resulting losses, damages, fines and reasonable attorneys' fees, arising out of (a) your use of the program in breach of this agreement or of any law, including recording, privacy and interpreter laws, or (b) reliance by you or anyone you serve on a translation in a setting section 7 warns against. We will tell you promptly of any such claim, let you control its defense and settlement (though you may not settle in a way that admits fault for us or binds us without our consent), and give you reasonable help at your expense. 16. Consumer rights. Nothing in this agreement limits any right you have under a consumer protection law that cannot be waived or limited by contract. If you are a consumer and the law where you live gives you mandatory rights, such as statutory guarantees, or limits disclaimers, liability caps, arbitration or choice of law, sections 13, 14 and 19 and the choice of law in section 20 apply only as far as that law allows, and you may bring a claim in the courts where you live if that law gives you that right. 17. Export and government use. You may not use, export or re-export the program in breach of United States or other applicable export control or sanctions laws, including into an embargoed country or by a person on a restricted-party list. The program is "commercial computer software" and its documentation is "commercial computer software documentation" under FAR 12.212 and DFARS 227.7202; a United States government user receives only the rights this agreement gives everyone else. 18. Changes to this agreement. This agreement is subject to change. We may update it from time to time. The current version is always at https://translate.armoredarmadillo.com/LICENSE.txt and comes with each release of the program, dated at the top, and the program asks you to accept a new version before you use it again. A change takes effect when it is posted, except that for a paid Business License, a change that reduces the licensee's rights or raises its price takes effect 30 days after we email notice to the address on the licensee's invoice. Using the program after a change takes effect means you accept the changed agreement. If you do not accept a change, stop using the program and, for a Business License, cancel it; you will not be charged for any later period. A change to section 19 does not apply to a dispute either side gave written notice of before the change was posted. 19. Disputes and arbitration. Please read this section carefully. It affects your rights. (a) Try to resolve it first. Before starting an arbitration or a small-claims case, the party with the claim must send the other a written notice describing the claim and the relief it wants, and both sides will try in good faith to resolve it for 30 days. Notices to us go to licensing@armoredarmadillo.com; notices to you go to the email address we have for you, if any. (b) Binding arbitration. Any dispute, claim or controversy arising out of or relating to the program, this agreement, a license key or license, or our website, including whether this section applies to it or can be enforced, will be resolved by final and binding arbitration rather than in court, except as (d) allows. The Federal Arbitration Act governs this section. (c) How it works. The American Arbitration Association (AAA, adr.org) administers the arbitration under its Consumer Arbitration Rules if you are an individual using the program for personal use, and under its Commercial Arbitration Rules otherwise, as in effect when the arbitration starts. A single arbitrator decides it. Any in-person hearing takes place in Ada County, Idaho; the arbitrator may hold hearings by video or telephone, and if your claim is for US$10,000 or less you may choose to have it decided on written submissions alone. Fees are paid as the AAA's rules provide, except that for a claim by an individual using the program for personal use we will pay the AAA filing, administration and arbitrator fees beyond what you would have paid to file the claim in an Idaho court, unless the arbitrator finds the claim frivolous. The arbitrator may award only the individual relief a court could award, and judgment on the award may be entered in any court with jurisdiction. (d) Exceptions. Either side may bring an individual claim in a small-claims court that has jurisdiction over it. Either side may also ask a court for an injunction or other equitable relief to stop infringement or misuse of its intellectual property, or a breach of section 3, 4 or 5. (e) No class actions and no jury. Disputes are resolved only on an individual basis, never as a class, collective, consolidated or representative action, and an arbitrator may not combine the claims of more than one person without everyone's written agreement. YOU AND ARMORED ARMADILLO LLC EACH GIVE UP THE RIGHT TO A JURY TRIAL AND THE RIGHT TO TAKE PART IN A CLASS ACTION. If a court finds this (e) unenforceable as to a particular claim, that claim alone will be decided in court, after any arbitrable claims are arbitrated, and the rest of this section still applies. (f) Opting out. You may opt out of this section 19 by emailing licensing@armoredarmadillo.com within 30 days after you first accept this agreement, giving your name and saying that you opt out of arbitration. Opting out does not affect any other part of this agreement. (g) Courts. Any dispute that is not arbitrated will be heard only in the state courts in Ada County, Idaho, or the United States District Court for the District of Idaho, and both sides consent to those courts' jurisdiction, subject to section 16. This section continues after this agreement ends. 20. General. (a) Governing law. This agreement is governed by the laws of the State of Idaho, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs section 19. The United Nations Convention on Contracts for the International Sale of Goods does not apply. (b) Entire agreement. This agreement, with any invoice or order for a Business License, is the whole agreement between you and us about the program and replaces any earlier version and any earlier understanding. If an invoice or order conflicts with this agreement, this agreement controls unless the invoice or order expressly says otherwise and we have signed it. (c) Assignment. You may not transfer this agreement or a license without our written consent, except to a successor to all or substantially all of your business. We may transfer it to an affiliate or to a successor to our business or to the program. (d) No waiver. Not enforcing a part of this agreement is not a waiver of it. (e) Severability. If any part is unenforceable, it is enforced as far as the law allows and the rest still applies. (f) Events beyond control. Neither side is liable for a delay or failure, other than a failure to pay, caused by events beyond its reasonable control. (g) Notices. Notices to us go to licensing@armoredarmadillo.com. Notices to you go to the email address on your invoice or order, or, if we have none, are posted at https://translate.armoredarmadillo.com/. Questions: licensing@armoredarmadillo.com.
